Terms of Service

These Terms of Service ("Terms") govern your access to and use of WorkHoist, a cloud-based construction work management platform operated by TekConnected LLC ("TekConnected," "we," "us," or "our"). By creating an account or using the platform, you agree to these Terms. If you do not agree, do not use WorkHoist.

The Service

WorkHoist is a cloud-based software platform that helps construction businesses manage their work, including lead pipelines, projects, estimates, scheduling, equipment, crews, subcontractors, and financials. We provide the platform on a subscription basis and may add, change, or remove features over time as the product evolves.

Account Registration and Free Trial

To use WorkHoist you must register for an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use.

New accounts include a free trial of fourteen (14) days. During the trial you may access the platform without charge. At the end of the trial, continued use requires a paid subscription. We may modify trial terms, pricing, and subscription plans, and we will provide notice of material changes that affect your account.

Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable law or regulation.
• Upload or transmit malware, or attempt to interfere with, disrupt, or compromise the integrity or security of the platform.
• Attempt to gain unauthorized access to any part of the platform, other accounts, or systems connected to the platform.
• Reverse engineer, decompile, or attempt to extract the source code of the platform, except where permitted by law.
• Resell, sublicense, or otherwise make the platform available to third parties outside your organization without our written consent.
• Use the platform to store or transmit content that infringes the rights of others or that is unlawful, harmful, or objectionable.

We may suspend or terminate access for conduct that we reasonably believe violates these Terms or harms other users, the platform, or third parties.

Your Data and Ownership

You retain all ownership rights to the data and content you submit to WorkHoist ("Customer Data"). We do not claim ownership of your Customer Data. You grant us a limited license to host, process, and use Customer Data solely to provide and improve the platform, to support your account, and as otherwise described in our Privacy Policy.

You are responsible for the accuracy and legality of your Customer Data and for having the necessary rights to submit it. You may export your Customer Data while your account is active. Following termination, we may delete Customer Data as described in the Termination section below and in our Privacy Policy.

Service Availability

WorkHoist is an early-stage product. We provide the platform on an "as is" and "as available" basis and do not currently offer a service level agreement or guarantee of uptime, availability, or uninterrupted access. We may perform maintenance, updates, or changes that temporarily affect availability, and we may modify or discontinue features at our discretion. We will make reasonable efforts to minimize disruption and to notify you of significant planned changes.

Fees and Payment

Paid subscriptions are billed in advance on the cadence shown at the time of purchase. Fees are non-refundable except where required by law or expressly stated otherwise. We may change pricing on a prospective basis with notice. You are responsible for any applicable taxes.

Intellectual Property

The platform, including its software, design, and content (other than Customer Data), is owned by TekConnected and its licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the platform during your subscription. No other rights are granted.

Limitation of Liability

To the maximum extent permitted by law, TekConnected and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of, or inability to use, the platform, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to these Terms or the platform will not exceed the greater of the amounts you paid to us for the platform in the twelve (12) months preceding the claim, or one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Disclaimer of Warranties

Except as expressly stated, the platform is provided without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be error-free, secure, or uninterrupted.

Termination

You may stop using the platform and cancel your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if we discontinue the platform. Upon termination, your right to use the platform ends. We may delete your Customer Data following a reasonable retention period, as described in our Privacy Policy, unless retention is required by law. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and governing law.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the platform after changes take effect constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the platform will be subject to the exclusive jurisdiction of the state and federal courts located in Colorado.
